These Terms & Conditions (“Terms”) govern your access to and use of the VioraStack website, platform, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you may not access or use the Services.

1. Definitions

  • “VioraStack,” “we,” “our,” or “us” refers to VioraStack Inc.
  • “User,” “you,” or “your” refers to any individual or entity using the Services.
  • “Customer Data” means data submitted to the Services by or on behalf of a customer.
  • “Account” means a registered user account for accessing the Services.

2. Eligibility & Account Registration

You must:

  • Be at least 18 years old
  • Have authority to bind your organization (if applicable)
  • Provide accurate and complete information

You are responsible for:

  • Maintaining account security
  • All activity under your account
  • Promptly notifying us of unauthorized access

3. Use of the Services

You agree to use the Services only for lawful business purposes and in accordance with these Terms.

You may not:

  • Reverse engineer or attempt to extract source code
  • Interfere with platform performance or security
  • Use the Services to violate laws or third-party rights
  • Resell or sublicense the Services without written permission

4. Customer Data

4.1 Ownership

You retain all rights to Customer Data you provide.
VioraStack does not claim ownership of Customer Data.

4.2 License

You grant VioraStack a limited license to process Customer Data solely to provide and improve the Services.

4.3 Responsibility

You are responsible for:

  • The legality of Customer Data
  • Ensuring required permissions are obtained
  • Accuracy and completeness of data submitted

5. Intellectual Property

All rights, title, and interest in the Services, including:

  • Software
  • Designs
  • Trademarks
  • Documentation
  • Analytics models

are owned by VioraStack or its licensors.

No rights are granted except as expressly stated in these Terms.

6. Fees & Payment (If Applicable)

Certain features may require payment.

You agree to:

  • Pay applicable fees as agreed
  • Provide accurate billing information

Failure to pay may result in suspension or termination of access.

7. Availability & Modifications

  • We strive for high availability but do not guarantee uninterrupted service.
  • We may modify, suspend, or discontinue features at any time.
  • Material changes will be communicated when reasonably possible.

8. Third-Party Services

The Services may integrate with third-party platforms.

VioraStack:

  • Is not responsible for third-party services
  • Does not guarantee their availability or accuracy
  • Is not liable for issues arising from third-party integrations

Your use of third-party services is subject to their own terms.

9. Confidentiality

Each party agrees to protect confidential information disclosed during the use of the Services and not disclose it without authorization, except as required by law.

10. Termination

We may suspend or terminate access if you:

  • Violate these Terms
  • Use the Services unlawfully
  • Pose a security or operational risk

You may terminate your account at any time by contacting us.

Upon termination:

  • Access to the Services will cease
  • Customer Data will be handled per the Privacy Policy

11. Disclaimers

The Services are provided “as is” and “as available.”

We disclaim all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

We do not guarantee results derived from the use of the Services.

12. Limitation of Liability

To the maximum extent permitted by law:

  • VioraStack is not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim

13. Indemnification

You agree to indemnify and hold harmless VioraStack from claims arising from:

  • Your use of the Services
  • Your Customer Data
  • Violation of these Terms or applicable laws

14. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

15. Changes to These Terms

We may update these Terms from time to time.
Changes will be posted with an updated “Last updated” date.

Continued use of the Services constitutes acceptance of the updated Terms.
